1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between The Pipeline™ ("we," "our," or "us") and you ("you," "your," or "Client") regarding your use of our lead generation and consulting services, website, and any related services (collectively, the "Services").
By accessing, using, or engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein.
2. Services Description
The Pipeline™ provides lead generation and consulting services, including but not limited to:
- Lead identification and research
- Email outreach campaigns
- Consulting and strategy development
- Pipeline generation and management
- Business development support
- Data analysis and reporting
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.
3. Client Responsibilities
As a Client, you agree to:
- Provide accurate, complete, and current information
- Comply with all applicable laws and regulations
- Not use our Services for any illegal or unauthorized purpose
- Not interfere with or disrupt our Services or servers
- Not attempt to gain unauthorized access to our systems
- Maintain the confidentiality of any account credentials
- Pay all fees and charges in accordance with our pricing
4. Lead Generation Services
4.1 Service Delivery
We will use commercially reasonable efforts to provide lead generation services in accordance with agreed-upon specifications. However, we do not guarantee specific results, response rates, or conversion outcomes.
4.2 Lead Quality and Verification
While we strive to provide high-quality leads, we cannot guarantee the accuracy, completeness, or suitability of any lead information. Clients are responsible for verifying and validating all lead information before use.
4.3 Compliance and Legal Requirements
Clients are responsible for ensuring that their use of our lead generation services complies with all applicable laws, including but not limited to anti-spam laws, privacy laws, and industry-specific regulations.
5. Payment Terms
5.1 Fees and Charges
All fees and charges are as specified in our pricing or as agreed upon in writing. Fees are non-refundable unless otherwise specified in these Terms or required by law.
5.2 Payment Schedule
Payment is due upon receipt of invoice unless otherwise agreed. Late payments may result in suspension of services and may incur additional charges.
5.3 Taxes
All fees are exclusive of applicable taxes. Clients are responsible for paying all taxes, duties, and other charges imposed by any governmental authority.
6. Intellectual Property
6.1 Our Intellectual Property
All content, materials, methodologies, processes, and intellectual property used in providing our Services remain our exclusive property. Clients receive a limited, non-exclusive license to use our Services solely for their intended purpose.
6.2 Client Intellectual Property
Clients retain ownership of their intellectual property. By using our Services, clients grant us a limited license to use their content solely for the purpose of providing our Services.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of these Terms for a period of five (5) years.
8. Data Protection and Privacy
Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of information as described in our Privacy Policy.
9. Disclaimers and Limitations
9.1 Service Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
IN NO EVENT SHALL THE PIPELINE™ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless The Pipeline™ and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of our Services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any third-party rights
11. Termination
11.1 Termination by You
You may terminate these Terms at any time by providing written notice to us. Termination will be effective upon our receipt of your notice.
11.2 Termination by Us
We may terminate these Terms immediately if you breach any provision of these Terms or if we determine that continued provision of Services is not in our best interests.
11.3 Effect of Termination
Upon termination, your right to use our Services ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, or other unforeseeable events.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein.
13.2 Jurisdiction
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.
13.3 Arbitration
Any disputes shall be resolved through binding arbitration in accordance with the Arbitration Act, 1991 (Ontario) and the rules of the ADR Institute of Canada, Inc.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
15. Entire Agreement
These Terms constitute the entire agreement between you and The Pipeline™ regarding the subject matter hereof and supersede all prior or contemporaneous agreements, representations, or understandings.
16. Amendments
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our Services constitutes acceptance of the updated Terms.
